The agreement between you and Copper Supply for using the website, the app, verification, document checks and due-diligence reports.

CSS International Ltd · Version of

Draft – pending solicitor review. This text is a working draft and may change before launch.

These terms are an agreement between you and CSS International Ltd, trading as Copper Supply ("Copper Supply", "we", "us"). We are a company registered in England and Wales under number 16110027, with our registered office at 167–169 Great Portland Street, London W1W 5PF, United Kingdom. You can contact us at sales@copper.supply.

By creating an account or using Copper Supply you agree to these terms, our privacy policy, our verification scope and our cookie policy. If you use Copper Supply for a company, you confirm you are authorised to accept these terms for it, and "you" includes that company.

1. Who can use Copper Supply

You may use Copper Supply only if:

  • you are at least 18 years old;
  • you use it for business purposes in the trade of copper or related services, not as a consumer;
  • you are not a person or entity named on, owned or controlled by anyone named on, or acting for anyone named on, a sanctions list maintained by the United Kingdom, the European Union, the United Nations or the United States; and
  • you are not located in, or acting for a party in, a country or territory subject to comprehensive sanctions.

We may refuse, suspend or close any account to comply with sanctions or other laws.

2. What Copper Supply is, and what it is not

Copper Supply is an online service that helps people in the physical copper trade find each other, check each other and organise their deals. It includes a marketplace of listings, messaging, verification of members, automated document checks, due-diligence reports, deal rooms and electronic signing.

Copper Supply is not a party to any trade between members. We do not buy, sell, hold, store, ship or take title to any goods. We do not act as broker, agent, mandate, paymaster, escrow agent or financial adviser for any member. We never hold or transfer trade money. Any agreement to buy or sell is solely between the members concerned, and you are responsible for your own decisions, contracts, payments and checks.

Nothing on Copper Supply, including our Learn guides, document checks and reports, is legal, financial, tax or investment advice.

3. Your account

You must give accurate information and keep it up to date. You are responsible for everything done through your account, so keep your sign-in details secure and tell us at once if you think someone else has used them. One person may hold one personal account. We may ask you to verify information you have given us.

4. Listings, messages and other content

You are responsible for what you post, send or upload ("your content"). When you post a listing you confirm that:

  • it is accurate and current, and describes material you or your principal actually hold or require;
  • you have the authority to make it, including written authority from your principal if you act as an intermediary; and
  • it does not breach anyone's rights, any confidentiality obligation, or any law.

New listings are reviewed before they go live, and we may edit, refuse, pause or remove any listing or content at our discretion, for example where it appears inaccurate, recycled, misleading or unlawful. Reviewing a listing does not mean we have verified its contents.

You keep ownership of your content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and process it as needed to run Copper Supply, and, for listings, to show them to other users and in search results.

5. Verification

We offer verification at several levels, described in our verification scope. A verification badge states only what was checked and when. It is not a guarantee of a member's honesty, solvency, stock, cargo quality or performance, and it is not a recommendation. Badges expire and may be withdrawn at any time, including if we receive information that a check is no longer accurate or a fraud report is upheld.

You must not misrepresent your verification level, or display a Copper Supply badge anywhere you are not entitled to.

6. Document checks

Our document checks use automated rules and an artificial-intelligence model to look for common signs of forgery and unrealistic terms. Results are an indication, not a determination. A low-risk result does not mean a document is genuine, and a high-risk result does not mean it is forged. You must make your own enquiries, including with the issuer of any document, before relying on it. You must only upload documents you are entitled to share.

7. Due-diligence reports

Due-diligence reports are prepared from public registries, sanctions and media sources, documents you provide, and enquiries we are able to make within the scope you order. Their accuracy depends on those sources. A report reflects the position on the date it is issued, is for your internal use only, and must not be shared with the subject or published without our written consent. We may decline to prepare a report.

8. Deal rooms and electronic signatures

Deal rooms let members share documents, record offers and sign documents electronically. You are responsible for deciding whether an electronic signature is appropriate and enforceable for your document and the laws that apply to it. Templates we provide are a starting point only, are not legal advice, and should be reviewed by your own lawyer. The audit certificate we attach records what our systems observed, such as who signed, when and from which device.

9. Fees and payment

Joining, posting, browsing and messaging are free. Paid services include Verified Trader membership (US$49 per month or US$399 per year), the Trading Desk plan (US$1500 per year), document checks (US$29 each, with your first check free) and due-diligence reports (from US$450). Prices on the pricing page at the time you order apply, and exclude any taxes that we are required to charge.

Payments are processed by Stripe. Subscriptions renew automatically at the end of each period until you cancel. You can cancel at any time from Plan & billing, and your plan then continues until the end of the period you have paid for.

Because our services are supplied to businesses and start immediately, fees are not refundable once a service has been provided, for example once a document check has run or verification review has started. If we have not started work on a due-diligence report you may cancel it for a full refund. If we fail to provide a paid service, we will refund the fee for that service.

10. Acceptable use and member code

You must not:

  • post or upload false, forged, altered or recycled documents or offers;
  • impersonate any person or company, or misstate who you represent;
  • ask any member to pay upfront fees to you or to any third party on the pretext of releasing goods, bonds, certificates or similar;
  • use Copper Supply for any trade involving sanctioned persons, places or goods, or in breach of export, anti-bribery or anti-money-laundering laws;
  • harvest, scrape or copy other members' details, or contact them for purposes unrelated to the trade;
  • send spam, or misuse messaging, introductions or reports;
  • interfere with, probe or bypass the security or operation of Copper Supply; or
  • help anyone else do any of these things.

Every member also agrees to our member code: to be honest about what they hold, what they can pay and who they represent; to name their principal when asked or say plainly that they cannot; not to forward offers or documents they cannot stand behind; to declare their commission before documents are exchanged; to reply to counterparties, even if the answer is no; and to keep other members' details and terms confidential.

11. Fraud reports and public warnings

You may report suspected fraud. Reports must be made honestly and in good faith. We review reports and may, at our discretion, publish a warning in our public scam search, withdraw a badge, or suspend an account. Public warnings summarise what we reasonably believe based on the evidence we reviewed. If you believe a warning about you or your company is wrong, contact us at sales@copper.supply with your evidence and we will review it promptly.

12. Our intellectual property

Copper Supply, its software, design, text, guides, templates and brand belong to us or our licensors. You may use them only to use Copper Supply as intended. You must not copy, resell or build a competing service from them.

13. Suspension and closure

You may ask us to close your account at any time, from Settings or by email. We may suspend or close your account, remove content or withdraw a badge if you breach these terms, if we reasonably suspect fraud or other unlawful activity, if required by law, or if we stop offering the service. Where reasonable we will tell you why. Sections that by their nature should survive closure, including sections 2, 7, 12, 14, 15 and 16, will survive.

14. Disclaimers

We provide Copper Supply with reasonable care and skill. Apart from that, and to the extent the law allows, we provide it "as is" and "as available" and give no warranty that it will be uninterrupted or error-free, that any member, listing or document is genuine or accurate, or that any trade will complete. Information about other members comes from them or from the checks described in our verification scope, and we are not responsible for its accuracy beyond those checks.

15. Our liability to you

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

Subject to that:

  • we are not liable for any loss arising from a trade, negotiation or dealing between you and another member or third party, including loss of goods, payments, deposits or fees paid to anyone other than us;
  • we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss; and
  • our total liability to you for all claims arising out of or in connection with Copper Supply in any 12-month period is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim and (b) £100.

16. Your responsibility to us

You will compensate us for any claims, losses and reasonable costs we incur as a result of your breach of these terms, your content, or your dealings with other members, except to the extent caused by our own breach.

17. Changes to Copper Supply and to these terms

We may change Copper Supply and these terms from time to time. If a change to these terms materially affects you, we will tell you by email or in the app at least 14 days before it takes effect, unless the change is required sooner by law. If you continue to use Copper Supply after a change takes effect, the new terms apply.

18. General

If any part of these terms is found unenforceable, the rest remains in force. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under these terms without our consent. We may transfer ours to a company that takes over Copper Supply. No one other than you and us has any rights under these terms.

19. Law and disputes

These terms and any dispute or claim arising out of or in connection with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction. Before starting proceedings, please contact us at sales@copper.supply so we can try to resolve the matter.
